The company's board of directors is composed of directors with rich experience and expertise from various fields. Board members faithfully execute their duties and fulfill their responsibilities as good managers, exercising their powers with caution in accordance with relevant laws and the company's articles of association. Independent directors possess independence and professionalism, allowing them to make independent judgments and provide objective opinions on the company's operations and management, which helps supervise the company's operations and protect the interests of shareholders.
To achieve the goals of corporate governance, the main tasks of the board of directors include:

Board Diversity and Independence
The Company has a diversity policy for the Board of Directors. The composition of the Board of Directors should consider diversity. According to the Company's operation, operation mode and development needs, etc., select members with diverse backgrounds and viewpoints. The consideration factors include but are not limited to gender, age, nationality, culture, professional background (such as law, accounting, industry, finance, marketing or technology), professional skills and industry experience, etc.
The directors of the Company have rich experience and professional background in the fields of finance, electrical machinery, etc, accounting, and law.. Among them, the goal is to have 5 directors with industrial experience or professional ability in accounting. There are 6 directors who already have industry experience or expertise in finance and accounting in 2026.
The Company pays attention to gender equality in the composition of the Board of Directors, and sets a goal of at least 2 female seats. The Board of Directors had a total of 7 directors in 2026, of which 2 are female directors, and the set target of at least 2 directors has been achieved.

Succession Planning
1. Succession Planning for Board Members
The company's board of directors is elected through a candidate nomination system and is conducted in accordance with the "Board Election Regulations." Currently, there are 7 directors (including 3 independent directors). Except for the chairman who is actively involved in the company's operations, the other directors (including independent directors) are all external professionals with relevant industry experience and financial accounting backgrounds. Regarding the succession planning for board members, the company will continue to strengthen the structure of the board members in the future to meet the diversity, gender balance, and professionalism of the board members.
2. Succession Planning for Key Management
The company's key management has served for over 20 years, familiar with the company's business and financial operations. Regarding succession planning for key management, the chairman and the general manager communicate periodically through meetings or emails with the management to cultivate decision-making abilities, in order to prepare talents needed for the sustainable development of the company.
